The Associate Director, Governance will play a key role in advancing effective governance operations by managing board activities, coordinating governance processes, maintaining official records, and serving as the primary liaison between board members, executive leadership, and internal stakeholders. The ideal candidate is a highly organized professional with exceptional communication skills, strong attention to detail, and the ability to manage complex projects while maintaining confidentiality and professionalism. Responsibilities
- Lead the planning, coordination, and execution of Board of Trustees and committee meetings, including both in-person and virtual sessions.
- Serve as the primary point of contact for board members, officers, committee chairs, and executive administrative teams.
- Prepare, edit, organize, and distribute board agendas, meeting materials, resolutions, briefing documents, and governance communications.
- Draft, maintain, and manage accurate board and committee meeting minutes and official governance records.
- Coordinate meeting logistics, including scheduling, technology support, travel arrangements, vendor coordination, and onsite meeting requirements.
- Administer and maintain the organization's board management platform and governance systems.
- Manage governance documentation, digital records, and archival materials.
- Support annual board recruitment, officer elections, committee appointments, and trustee onboarding processes.
- Track governance activities, metrics, and key deadlines; prepare reports and updates for leadership.
- Ensure governance materials are accurate, organized, and accessible to appropriate stakeholders.
- Identify opportunities to improve governance workflows, systems, and operational efficiencies.
- Develop and implement best practices to enhance board engagement and administrative processes.
- Lead governance-related projects and support strategic initiatives as assigned.
- Provide administrative and operational support for executive leadership and governance priorities.
Schedule: Full time, hybrid, 10% travel required (occasional evening and weekend availability)
