Job Description The Corporate Counsel will provide legal support to CMN in connection with live Music (i.e. concerts, tours, and bookings), Marketing (i.e. experiential marketing campaigns), Sports (i.e. international soccer friendlies), other live Events, along with serve a business affairs function as well. Corporate Counsel will report directly to the General Counsel. This role is responsible for reviewing and drafting contracts in connection with Music, Marketing, Sports, and other Events, along with troubleshooting any issues related to those events. The ideal candidate must possess strong drafting and communication skills, be business-minded, self-motivated, a quick learner, possess a team first, 'can do' attitude, independent worker, creative thinker, and team player. Strong interpersonal, communication and analytical skills are essential. Primary Job Responsibilities
- Review/draft/negotiate agreements including, but not limited to, artist agreements, booking/sell-off agreements, co-pro agreements, master service agreements, professional service agreements, vendor/service provider agreements, venue agreements, scope of work, NDAs, independent contractor agreements, letter agreements, etc.
- Partner with various CMN departments such as Touring/Booking, Event Marketing, Accounting/Finance, Risk Management, Social/Digital, IT and Human Resources to support their legal needs.
- Assist General Counsel and management with such other tasks, as requested.
- Assist a separate nonprofit entity on various matters, including, but not limited to MOUs, annual gala-related agreements, other fundraising initiatives, independent contractor agreements, etc.
- Review insurance requirements and request insurance certificates.
- Coordinate and serve as a legal/compliance resource for various other CMN initiatives
- Assist with corporate filings and manage relationship with various entities' registered agents
- Perform any other assigned duties or projects
Requirements
- Licensed attorney with a Juris Doctorate from accredited law school
- At least 5 years legal experience (preferably in-house or at a law firm)
- Bilingual in Spanish (preferred)
- Prior experience working reviewing music, entertainment and/or live event agreements (preferred)
- Professionalism, discretion, and ability to maintain strict confidentiality is required
- Must possess highly effective written and verbal communication skills
- Detail-oriented with superb critical thinking skills
- Experience in reviewing and drafting contracts
- Strong research skills and proficient in identifying and effectively resolving any questions or issues
- Must possess ability to work independently in a fast-paced environment but with a team-oriented approach
- Responsive and collaborative attitude to any project requests, emails, calls and departmental/personnel needs
- Ability to perform under pressure, managing multiple projects and deliver high-quality work under tight deadlines
- Possess sound judgement at all times
Travel
Pay Scale: $125K-$175K Bonus: This position is eligible for a bonus under the current bonus plan requirements.
