Business Unit Overview

The Real Estate Investing and Loan Asset Management platform within Goldman Sachs Asset Management is overseen by a global investment committee that directs the firm's strategy in real estate and approves investments in the US, Europe and APAC. Teams invest across the full expanse of risk categories and sectors, in both equity and credit, with a focus on thematic strategies, acquisitions and development, platform creation and special situations.

Job Description:

The Real Estate Investing and Loan Asset Management platform within Goldman Sachs Asset Management seeks a Vice President with a legal background to work with deal teams on loan structuring, term sheet preparation and negotiations, loan documentation, and closing execution for all types of commercial real estate loans within North America.

Key Responsibilities:

• Direct interaction with deal teams, sponsors, brokers, internal GS legal counsel, and outside legal counsel on all credit investing activities within Goldman Sachs Asset Management Real Estate
• Focus on loan structuring, term sheet and loan documentation negotiations, and due diligence for Goldman Sachs Asset Management's lending vehicles
  
  
  
  • Loan types include mortgage, construction mortgage, b-notes, mezzanine, and preferred equity.
  
  
• Lead documentation for loan closings and loan modifications while working with outside counsel, internal GS legal, the internal closing team and the loan origination teams
• Assist deal teams in investment analysis and presentations to investment committee
• Work alongside loan asset management team to monitor ongoing performance of loans and any potential modification / loan workout needs.
• Assist with closing, legal documentation and amendment/modifications of back-leverage financings including master repurchase agreements, term loan facilities, and note-on-note transactions
• Oversee documentation of asset level pledge work for repurchase facilities, working alongside external counsel and internal deal teams.

Desired Skills and Responsibilities:

• 5+ years of directly relevant work experience in an outside counsel capacity focused on real estate debt transactions
• Deal track record in the last 4+ years across various loan types, markets and asset classes
• Significant experience with the negotiation and preparation of real estate finance documentation
• Motivated and collaborative individual who can be successful working as part of a cross-functional team with a results-oriented mindset;
• Effectively manage and develop junior resources
• Strong oral and written communication skills
• Ability to work multiple capital sources; balance and execute concurrent deals
• Flexibility and adaptability to various changing market dynamics and investing mandates
