The Legal Analyst proactively leads, coordinates and manages legal support in connection with complex M&A transactions, global legal fee electronic billing/case management database system, legal project requests, litigation and claims, and general corporate governance matters.

Your Day to Day:



  • Assist with corporate governance actions for the global enterprise, including liaising with internal stakeholders and external counsel; preparing and maintaining corporate records; preparing and executing corporate filings; assisting with the coordination of director and officer signature and company seal requests; collaborating with and supporting the governance team with legal entity-related tasks and projects; fielding and responding to requests for corporate information from various customers and business units throughout the global enterprise tracking subsidiary director and officer composition and requirements; responding to requests for corporate information throughout the global enterprise; providing support to finance, treasury, tax, and Global Business Units.
  • Assist with updating and maintaining the CSC database for legal entity management. Inputting entity details and storing entity documentation as required.
  • Assist and support in maintaining the Legal & Compliance SharePoint corporate governance library to include indexing and updating records as necessary.
  • Assist and support in managing the Corporate Governance shared mailbox.
  • Assist and support a new Corporate Governance SharePoint site to develop a more fluid and efficient workstream for both external and internal company initiatives and projects that include corporate governance documents and details. This includes KYC (Know Your Company) requests, licensing and entity registration applications, regulatory applications, etc. This role will support and oversee the assigning of tasks to appropriate stakeholders and internal departments within the SharePoint site.
  • Assist and support management of trademark portfolio, including oversight of company information and filing deadlines.
  • Assist with receipt and processing of Service of Process (SOP) documents that come in through our vendor CSC as registered agent for our US entities. Familiarity and identification of various legal documents to include subpoenas, requests for employment records, garnishments and class action or civil complaint. Further processing and routing to the appropriate internal department and/or submittal to the HR PowerHUB portal. Continued monitoring and tracking until the request is fulfilled or resolved.
  • Provide legal analyst services in relation to complex M&A transactions (public and private) from inception to closing, including due diligence, purchase agreement preparation, disclosure schedules, separation, and transition services. Assist in the signing and closing of transactions, including the preparation of closing deliverables.
  • Lead, manage and/or assist with projects as they arise in the Legal and Compliance department.



Who You Are:



  • Bachelor's degree or equivalent from an accredited institution
  • 3+ years paralegal or legal support experience
  • Paralegal certification (such as CRP or RP) preferred
  • Proficiency with customary computer hardware/software, including the full suite of Microsoft office products - Outlook, Word, Teams, SharePoint, Excel, etc. Proficiency with specialized software platforms such as Relativity (discovery), CSC(service of process/corporate filings), Westlaw/Practical Law (legal research), PACER (federal court docketing system), etc.
  • Good leadership and collaboration skills; excellent oral and written communication skills; detail oriented; suitable substantive knowledge; excellent organizational skills.
